These Content Creator Terms ("Terms") govern any content created, submitted, tagged, shared, or otherwise provided by creators ("Creator", "you", "your") in connection with Chief Nutrition Pty Ltd ("Chief", "we", "us", "our"). By tagging, submitting, sending, uploading, or agreeing to create content featuring Chief products, you agree to these Terms.

1. Grant of Rights

You grant Chief a perpetual, irrevocable, worldwide, royalty-free, transferable, sublicensable licence to use, reproduce, edit, modify, crop, adapt, publish, distribute, communicate, display, perform, and otherwise exploit your content, in whole or in part, in any format or media now known or later developed, for any lawful commercial or promotional purpose.

This licence includes the right to use your content, image, likeness, voice, name, and social media handle in connection with:

• organic social media;
• paid advertising, including but not limited to Meta, Google, TikTok, YouTube, and other digital advertising platforms;
• websites, landing pages, email marketing, and other digital channels;
• retail, in-store, wholesale, sales, and trade marketing materials;
• public relations, publicity, promotional, investor, and brand materials; and
• internal business use, presentations, and marketing collateral.

Chief may use your content with or without attribution and may edit, alter, combine, reproduce, or repurpose it at its sole discretion.

2. No Additional Compensation

Unless otherwise expressly agreed by Chief in writing, you acknowledge and agree that no payment, royalties, licence fees, usage fees, residuals, or other compensation is payable for Chief's use of your content or likeness under these Terms. Any product, gifting, samples, event access, exposure, or other non-monetary benefit provided by Chief may constitute sufficient consideration for the rights granted under these Terms.

3. No Approval Rights

To the maximum extent permitted by law, you waive any right to review, approve, restrict, or object to the use of your content, likeness, image, voice, name, social media handle, captions, edits, copy, context, placement, or final creative, provided the use is lawful.

4. Content Submission and Consent

If you tag @wearechief, use a Chief branded hashtag, send content to Chief by direct message, email, upload form, or otherwise participate in a Chief campaign, giveaway, collaboration, or creator activity, you acknowledge and agree that you are granting Chief the rights set out in these Terms, including consent for both organic use and paid advertising use.

5. Creator Warranties

You warrant and represent that:

• you own or control all rights necessary to grant the rights set out in these Terms;
• the content does not infringe the intellectual property, privacy, confidentiality, publicity, moral, or other rights of any third party;
• any person appearing in the content has provided all necessary consents for their image, likeness, voice, and personal attributes to be used by Chief in accordance with these Terms;
• the content is accurate and not misleading to the best of your knowledge; and
• the content complies with all applicable laws, codes, and regulations, including any applicable advertising, disclosure, and consumer protection requirements.

6. Moral Rights Consent

To the extent permitted by law, you consent to Chief doing or omitting to do any act in relation to the content that may otherwise infringe your moral rights, including failing to attribute you, falsely attributing authorship where required for formatting or adaptation, or making edits, amendments, adaptations, translations, combinations, or deletions to the content. You waive all moral rights to the fullest extent permitted by law.

7. Removal Requests

Chief is under no obligation to remove, take down, discontinue, or cease using any content once published or used. Any request for removal may be considered by Chief in its sole discretion.

8. No Partnership or Employment Relationship

Nothing in these Terms creates any employment, agency, partnership, joint venture, endorsement, or ongoing commercial relationship between you and Chief unless expressly agreed by Chief in writing.

9. Indemnity

You agree to indemnify and hold harmless Chief, its directors, officers, employees, contractors, agents, successors, and assigns from and against any loss, damage, liability, claim, demand, action, cost, or expense, including reasonable legal costs, arising out of or in connection with:

• any breach by you of these Terms;
• any claim that the content infringes the rights of any third party; or
• any failure by you to obtain any necessary consent, approval, or permission in relation to the content.

10. Limitation of Liability

To the maximum extent permitted by law, Chief excludes all liability for any indirect, incidental, special, or consequential loss arising from or related to the use of your content. Where liability cannot be excluded, Chief's liability is limited to the minimum extent permitted by law.

11. Governing Law

These Terms are governed by the laws of New South Wales, Australia. You submit to the exclusive jurisdiction of the courts of New South Wales and any courts entitled to hear appeals from them.

12. Updates to These Terms

Chief may amend these Terms at any time by publishing updated terms on its website. By continuing to engage with Chief, submit content, or otherwise provide content after any update, you are taken to have accepted the amended Terms.
